1. About these terms
These terms are an agreement between Calidad Infotech Pvt. Ltd. (“we”, “us”) and the organization that uses the IssueLane application (the “customer”, “you”). By creating a workspace, signing in, or using IssueLane, you agree to them. If you accept on behalf of an organization, you confirm you are authorized to bind it. If we have signed a separate written agreement or order form with your organization, that document takes precedence where it differs.
2. The service
IssueLane is software for employee service management and IT operations: requests and approvals, assets and software, device and infrastructure monitoring, workflows, reporting, and related features. Features may require configuration, connections to other services, or the separately installed device agent. We may improve and change the service over time; we will not materially reduce the core features of a paid plan during its term without notice.
3. Accounts and administrators
Your administrators control your workspace: who can sign in, which features and connections are enabled, and what data is collected. You are responsible for the people you invite, for keeping access to your identity provider secure, and for the activity in your workspace. Tell us promptly at [email protected] if you suspect unauthorized access.
4. Acceptable use
You agree not to, and not to let others:
- break the law or infringe anyone’s rights using IssueLane;
- upload malware, or attempt to gain unauthorized access to the service, other workspaces, or connected systems;
- interfere with, overload, or probe the security of the service, except with our written permission;
- resell or provide the service to third parties, or copy or reverse engineer it, except as the law allows; or
- use the device agent or integrations to monitor people without the notice or consent the law requires.
5. Your data
You own the data you and your users put into IssueLane (“customer data”). You give us permission to host, process, and display it only to provide, secure, and support the service for you, and as described in our Privacy policy. You are responsible for having the right to collect and use customer data, including telling employees about device monitoring where required. We do not sell customer data or use it for advertising.
6. Connected services and AI
IssueLane can connect to services you choose, such as your identity provider, email, chat, cloud, and code accounts. Those services are governed by their own terms, and you are responsible for the access you grant. Optional AI features send relevant content to the configured AI provider. AI output can be inaccurate; review it before relying on it. Suggestions are not applied without a person’s review.
7. Fees
Fees, plans, user limits, and billing terms are set out in your order form or written agreement with us. Unless that document says otherwise, fees are payable in advance, are non-refundable, and exclude taxes, which you will pay as applicable. We may suspend a workspace if fees are significantly overdue, after giving notice.
8. Availability and support
We work to keep IssueLane available and secure, and to fix problems promptly. Any specific availability or support commitments apply only if they are included in your written agreement. Planned maintenance and events outside our reasonable control may affect availability.
9. Confidentiality
Each of us will protect the other’s non-public information with reasonable care, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential, unless the law requires disclosure.
10. Intellectual property
We own IssueLane, including its software, design, and documentation. These terms give you the right to use the service during your subscription; they do not transfer ownership. If you send us feedback, we may use it without obligation to you.
11. Suspension and termination
You may stop using IssueLane at any time, subject to your order form. We may suspend or end access if you materially breach these terms and do not fix the breach after notice, or immediately if needed to prevent harm to the service, other customers, or anyone else. When your subscription ends, you can export your data for 30 days; after that we delete your workspace data, except where the law requires us to keep it.
12. Disclaimers
Except as expressly stated in these terms or your written agreement, IssueLane is provided “as is” and we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. IssueLane helps you track and coordinate work and surface operational and security signals; it does not guarantee that every issue, vulnerability, or incident will be detected or resolved, and it does not replace your own security, compliance, or legal judgement. Compliance evidence reports support audit preparation and are not a certification.
13. Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, and each party’s total liability under these terms is limited to the fees you paid us for the service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, to breaches of section 4, or to liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from customer data or from your use of IssueLane in breach of these terms or the law.
15. Changes to these terms
We may update these terms. We will post changes on this page, update the effective date, and give customers reasonable notice of material changes. Continuing to use IssueLane after changes take effect means you accept them.
16. Governing law
These terms are governed by the laws of India. The courts at Ahmedabad, Gujarat, India have exclusive jurisdiction over any dispute arising from them.
